Listening Services Agreement
Introduction
Thank you for choosing HOLD Hearing Out Life Drama, LLC ("HOLD").
This Agreement governs every listening session whether booked through the HOLD website, Kajabi, Fiverr, referral partners, or another approved platform.
By booking, paying for, or participating in a listening session, you acknowledge that you have read, understood, and agree to these terms. These terms govern the relationship between you and HOLD and are intended to provide clarity regarding the services offered.
Definitions
Throughout this Agreement:
- "HOLD," "we," "our," or "us" means HOLD Hearing Out Life Drama, LLC, together with its owners, members, managers, officers, directors, employees, independent contractors, agents, volunteers, affiliates, and any individual providing listening services on HOLD's behalf.
- "Client" means any individual who books, purchases, or participates in a listening session.
- "Session" means any listening appointment provided by HOLD by telephone, video, audio, messaging, or another approved platform.
Eligibility
Listening services are available only to individuals who are at least eighteen (18) years of age. By booking or participating in a session, you represent that you are at least 18 years old and legally able to enter into this Agreement.
Nature of the Service
HOLD provides professional listening services intended to offer a confidential space where clients can speak openly, organize their thoughts, process experiences, and feel heard.
Professional listening is built on expert active listening skills. The purpose of a session is not to solve problems for you, but to provide a space where you can think aloud, explore your experiences, and gain greater clarity through being fully heard.
Participation is voluntary. Clients remain solely responsible for their own thoughts, decisions, actions, relationships, health care, legal matters, financial decisions, and any outcomes that may result from those decisions. Listening sessions are intended to provide a supportive space for reflection and are not intended to direct, influence, or determine a client's decisions.
No specific emotional outcome is promised or guaranteed.
What This Service Is Not
Professional listening is not therapy, counseling, coaching, crisis intervention, legal advice, financial advice, or medical advice. No diagnosis or treatment is provided.
Participation in a listening session does not establish a therapist-client, physician-patient, attorney-client, fiduciary, coaching, or any other licensed professional relationship.
Clients should not rely upon any statement, question, observation, silence, reflection, or discussion occurring during a listening session as legal, medical, psychological, financial, business, or other professional advice.
Confidentiality
HOLD will maintain the confidentiality of information shared during listening sessions. Confidential information may be disclosed only when required by applicable law, court order, subpoena, or governmental authority, or when HOLD reasonably believes disclosure is necessary to protect the safety of any person, comply with legal obligations, investigate fraud or misuse of the service, defend legal claims, or otherwise protect HOLD's legal rights.
HOLD will not disclose information to family members, employers, referral partners, or other third parties without your permission except as required by law.
Emergencies
HOLD is not an emergency or crisis service.
If you are experiencing an emergency or are at immediate risk of harming yourself or others, call 911 or your local emergency services immediately.
Professional Conduct
Clients agree to behave respectfully throughout every session.
The following behaviors are prohibited:
- Sexual comments or propositions
- Masturbation, nudity, or sexually explicit conduct
- Harassment or intimidation
- Threats or abusive language
- Hate speech or discriminatory conduct
- Illegal activity
- Appearing so impaired that meaningful participation is not possible
- Repeated violations of professional boundaries
If any of these behaviors occur, HOLD may immediately terminate the session without refund and may refuse future service.
Recording
To protect the privacy of everyone involved, HOLD does not record listening sessions, and Clients may not audio record, video record, photograph, screenshot, screen record, livestream, transcribe, or otherwise capture or reproduce any portion of a listening session by any means.
Scheduling
Appointments begin and end at the scheduled time.
Clients arriving late will receive the remaining portion of their scheduled appointment.
Missed appointments are considered completed appointments unless otherwise stated in the published cancellation policy.
Technology
Telephone and video sessions rely on third-party technology.
If a technical interruption occurs, both parties will make reasonable efforts to reconnect.
If reconnection cannot be established within a reasonable period, HOLD will determine whether any remaining session time will be rescheduled.
Right to End or Refuse Service
HOLD may end a session immediately if:
- This Agreement is violated.
- The interaction becomes unsafe or inappropriate.
- The requested services fall outside the scope of professional listening.
- Continuing the session would be inconsistent with HOLD's professional standards.
HOLD reserves the right to suspend, terminate, or refuse services at any time, with or without prior notice, whenever HOLD determines, in its sole discretion, that continuing services would be inappropriate, unsafe, outside the scope of professional listening, or otherwise inconsistent with HOLD's professional standards or business operations.
Fees and Refunds
Fees are due according to the booking platform used.
No refund will be issued for sessions terminated because of client misconduct or violation of this Agreement.
Limitation of Liability
Clients acknowledge that participation in listening services is voluntary and that they remain solely responsible for all personal decisions, actions, relationships, and outcomes before, during, and after participation.
To the fullest extent permitted by applicable law, HOLD shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising out of or relating to participation in listening services, including, but not limited to, any decisions, actions, or omissions by the Client before, during, or after participation in those services.
If a court of competent jurisdiction determines that HOLD is legally liable despite the limitations contained in this Agreement, HOLD's total cumulative liability shall not exceed the amount actually paid by the Client for the specific listening session giving rise to the claim.
Indemnification
Client agrees to defend, indemnify, and hold harmless HOLD from and against any claims, liabilities, damages, losses, costs, and reasonable attorneys' fees arising from the Client's violation of this Agreement, misuse of the services, unlawful conduct, or actions taken by the Client following participation in listening services.
Intellectual Property
Any written materials, worksheets, guides, logos, branding, or other materials provided by HOLD remain the intellectual property of HOLD unless otherwise stated in writing.
Communication
HOLD may communicate by email or SMS for scheduling, reminders, and service-related communication.
Additional privacy practices are described in HOLD's Privacy Policy.
Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including internet outages, power failures, severe weather, natural disasters, or other unforeseen events.
Governing Law and Venue
This Agreement shall be governed by and interpreted under the laws of the State of Nevada, without regard to conflict of law principles.
Any legal action or proceeding arising from or relating to this Agreement shall be brought exclusively in the state or federal courts located in Nevada, and the Client consents to the personal jurisdiction of those courts.
Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver
HOLD's failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
Entire Agreement
This Agreement constitutes the entire agreement between the Client and HOLD regarding listening services and supersedes prior discussions relating to those services.
Changes to the Agreement
HOLD may update this Agreement from time to time. The version in effect at the time a listening session is booked or purchased shall govern that session unless otherwise required by law.
Acceptance
By booking, purchasing, paying for, or participating in a listening session, the Client acknowledges that they have read, understood, and agree to be bound by this Agreement.
Scheduling, Cancellation & Refund Policy
Thank you for choosing HOLD. We value your time and ask that you respect the scheduled appointment time reserved specifically for you.
Scheduling
Appointments are available by advance booking through approved scheduling platforms. Payment is due at the time of booking unless otherwise stated.
Cancellations
If you need to cancel your appointment, please do so at least 24 hours before your scheduled appointment time.
We understand that emergencies and unexpected situations happen. If you need to cancel with less than 24 hours' notice, please contact us as soon as possible to discuss your situation. Exceptions may be made at HOLD's sole discretion.
Rescheduling
Appointments canceled with at least 24 hours' notice may be rescheduled based on availability.
Requests to reschedule made with less than 24 hours' notice may be approved at HOLD's discretion.
Late Arrivals
Appointments begin and end at the scheduled time.
If you arrive late, your session will still end at the originally scheduled time to avoid impacting other clients. The unused portion of your appointment will not be refunded or added to another session.
No-Shows
If you miss your appointment without prior notice, the appointment will be considered completed and no refund will be issued.
Extending a Session
Listening sessions cannot be extended beyond the scheduled appointment time because additional appointments may already be scheduled.
If you believe you may need additional time, please book a longer appointment when scheduling.
Refunds
Refund requests will be considered on a case-by-case basis in accordance with this policy.
Refunds will not be provided for:
- Missed appointments (no-shows)
- Sessions shortened because of a late arrival
- Sessions terminated due to violation of the Listening Services Agreement
- Completed listening sessions
If HOLD is unable to provide the scheduled service due to circumstances within HOLD's control, you may be offered a rescheduled appointment or an appropriate refund.
